Trainer Terms

These Trainer Terms ("Trainer Terms") supplement the GIGACHAD Terms of Service and apply specifically to users who designate themselves as personal trainers ("Trainers") on the GIGACHAD service operated by GIGACHAD LLC ("GIGACHAD", "we", "us"). By selecting the trainer account type and accepting these Trainer Terms during onboarding, you agree to be bound by both these Trainer Terms and the underlying Terms of Service. You must be at least 18 years of age to operate as a Trainer on the Service.

1. Independent contractor status

You operate on GIGACHAD as an independent contractor. You are not an employee, partner, agent, or joint venturer of GIGACHAD LLC. Nothing in these Trainer Terms creates an employment relationship. You are solely responsible for your own taxes, insurance, business registration, licensing, and any other obligations arising from your coaching activities.

GIGACHAD does not direct or control how you coach your Athletes. GIGACHAD does not set the rates you charge Athletes. GIGACHAD does not require you to use the platform exclusively — you are free to coach off-platform. The platform is a tool you choose to use; you are an independent contractor in every meaningful sense under California Labor Code AB 5 (Borello / ABC test) and analogous independent-contractor laws in other jurisdictions.

2. Credentialing and licensing

You warrant that you hold all credentials, certifications, licenses, and registrations required to provide personal training services in your declared jurisdiction. You will keep these credentials current and valid throughout your use of GIGACHAD as a Trainer. You agree to immediately discontinue using the Trainer surface if any required credential lapses, is suspended, or is revoked.

GIGACHAD's geographic availability for trainer accounts is limited at launch to the United States (excluding Washington D.C.), Canada, and the United Kingdom. You confirm you are physically located and conducting your coaching activities within one of these regions. Additional regions may be added in the future.

In Phase 1 of the Trainer feature, GIGACHAD does not actively verify your credentials. The verification status field on your trainer profile reflects self-attestation only. GIGACHAD reserves the right to add admin verification in a future release; you agree to provide reasonable documentation when requested.

3. Your athletes

You may only invite athletes you already have a pre-existing coaching relationship with outside of GIGACHAD. The Trainer pairing-code mechanism is intended to bring those existing relationships onto the platform — not to acquire new clients you have no prior connection with. GIGACHAD does not currently operate a marketplace for trainer-client matching.

You will treat each athlete's data confidentially. You will only use the GIGACHAD platform to communicate with athletes who have paired with you through a Trainer Code you issued. You will not use any information about other GIGACHAD users you encounter (e.g., via the form-check reviewer pool, if you participate) to solicit them as your own clients without their unsolicited prior consent through proper channels.

4. Quality and responsibility

You are solely responsible for the content and quality of the workouts, meal plans, macro targets, and any other guidance you push to your athletes through GIGACHAD. GIGACHAD does not review, endorse, or validate your programming. You will not push content that promotes unsafe practices, eating disorders, untested supplements or substances, or anything illegal in your or your athlete's jurisdiction.

5. Indemnification

You agree to defend, indemnify, and hold harmless GIGACHAD LLC and its officers, directors, agents, and affiliates from any claim, liability, loss, damages, or expenses (including reasonable attorneys' fees) arising out of or related to: (a) your coaching activities; (b) any injury, illness, or harm sustained by an athlete paired with you; (c) your breach of these Trainer Terms; (d) your violation of any law, regulation, or third-party right.

6. GIGACHAD's role

GIGACHAD is a software tool. We provide the platform that facilitates communication and content delivery between you and your athletes. We are not a party to the underlying coaching relationship, payment arrangement, or service agreement between you and your athletes.

Athlete payments are settled directly between you and your athletes through channels outside of GIGACHAD. GIGACHAD does not collect, hold, or distribute payments between trainers and athletes in the Phase 1 release.

7. Subscription requirement

Active Trainer accounts require an active GIGACHAD Pro subscription. If your Pro subscription lapses, your Trainer account will be suspended and your athletes will see your relationship status as paused until you restore Pro.

8. Data protection

When you receive an Athlete's personal data through GIGACHAD's platform, you become an independent data controller of that Athlete's data under UK GDPR, EU GDPR, and applicable US state privacy laws (including but not limited to Minnesota's MCDPA, California's CCPA, Virginia's VCDPA, Colorado's CPA, and Connecticut's CTDPA). You must:

• Comply with all applicable data-protection laws;
• Not export, copy, sell, share, or commercialize the Athlete's data outside the platform without the Athlete's explicit consent;
• Honor any data subject access, correction, or deletion request the Athlete makes to you directly, and forward such requests to privacy@gigachadapp.com for platform-level fulfillment;
• Report any actual or suspected data breach to the affected Athlete and to GIGACHAD at security@gigachadapp.com without undue delay (and in any event within 72 hours of becoming aware);
• Cease processing the Athlete's data when the coaching relationship ends.

9. Insurance

You warrant that you maintain (or will obtain prior to coaching any Athlete on the platform) professional liability insurance (sometimes called "errors and omissions" or "personal trainer insurance") and general liability insurance at coverage levels appropriate to your certifying body's recommendations and your jurisdiction's legal requirements (typically a minimum of US$1,000,000 general liability + US$1,000,000 professional liability per occurrence). You agree to provide proof of insurance upon GIGACHAD's reasonable request.

10. Code of conduct

As a Trainer on GIGACHAD, you agree to conduct yourself professionally and ethically. The following behavior is strictly prohibited and will result in immediate Trainer-account termination and potential referral to your certifying body or law enforcement where appropriate:

• Harassment of Athletes — verbal, written, digital, or otherwise.
• Sexual or romantic propositioning of Athletes, regardless of whether the Athlete appears receptive. The coach-Athlete relationship is a position of trust.
• Discrimination against an Athlete on the basis of race, color, religion, sex, national origin, age, disability, sexual orientation, gender identity, gender expression, pregnancy, marital status, or any other class protected by applicable law.
• Body-shaming, fat-shaming, or weight-shaming in any form.
• Diagnosing medical conditions or providing anything that could be construed as medical advice. If an Athlete reports symptoms, refer them to a qualified medical professional.
• Prescribing supplements, medications, peptides, or performance-enhancing substances. You may discuss general nutrition; you may not prescribe, recommend by brand with intent to influence purchase, or otherwise act as a nutritionist, dietitian, or medical professional unless you independently hold the relevant license.
• Failing to comply with applicable mandatory-reporter obligations (for example, where you learn of suspected abuse of a minor or a vulnerable adult and your jurisdiction requires you to report).

11. Form-check reviewer pool and Pro-credit compensation

If you opt in to the form-check reviewer pool, you may be assigned form-check videos submitted by GIGACHAD users (Athletes who may or may not be paired with you) for substantive expert review. You agree to:

• Provide thorough, accurate, professional feedback against the platform's structured cue checklist for each assigned review;
• Treat each video as confidential and not copy, share, or commercialize it;
• Not solicit the submitting user as a client outside the platform without their unsolicited prior expression of interest;
• Meet the platform's quality controls, including minimum watch-percentage, minimum review length, minimum review time, and the structured-cue checklist.

Pro-day credits earned for completing form-check reviews are compensation for services rendered — specifically, the substantive review work you performed against the platform's quality controls. They are not a sweepstakes, contest, gambling reward, or gamified rewards program. The credits are governed by this service agreement and reflect a market-rate hourly value for the expert review work, in consideration of which you receive Pro-subscription day credits as agreed compensation.

12. Termination

You may stop operating as a Trainer at any time by ending all active athlete relationships and contacting us. GIGACHAD may suspend or terminate your Trainer account if you breach these Trainer Terms, if athletes report you for behavior inconsistent with these terms (including any breach of the Code of Conduct in §10), or if we receive credible information that you lack the credentials you have attested to.

13. Updates

We may update these Trainer Terms from time to time. When we do, we'll bump the "Last updated" date at the top, and material changes will be highlighted in the app. Continued use as a Trainer after an update constitutes acceptance.
